Entire agreement clause
Meaning in contract & commercial law, with examples
In contract & commercial law, entire agreement clause means: A clause stating that the written contract contains everything the parties agreed, replacing earlier discussions, emails and drafts.
In Turkish: sözleşmenin bütünlüğü maddesi, tam anlaşma hükmü
How it is used
Standard boilerplate in commercial contracts. It stops a party from relying on side promises made during negotiations. It is often combined with a non-reliance statement, but it usually cannot exclude liability for fraud.
Example sentences
Because of the entire agreement clause, the promises made at the sales meeting are not part of the contract.
Check that the entire agreement clause does not cancel the side letter we signed.
